STANDARD CONDITIONS OF SALE for the Phillips Group of Fine Art Auctioneers
Definitions. In these conditions Glendining & Co., who act only as auctioneers and agents, are called ‘“‘Glendining’s”’, or “the Auction-
cers” and the representative of Glendining’s conducting the auction is called “the auctioneer’.
Commission. Unless otherwise shown on this form, the commission to the vendor for selling is 123%, reducing to 10% on consignments of
ay or over. For numismatic books the commission is increased to oO.
Minimum Charge. A minimum charge of £15 per lot will be applied whether a lot is sold, unsold or withdrawn.
Unsold lots. If the lot is unsold there will be a charge of 5% [of the last bid in the room], or the £15 minimum charge. Any unsold lots may be reoffered for sale at the Auctioneers’ discretion and without reserve, unless collection has been requested.
Withdrawal Fee. A withdrawal fee on lots withdrawn prior to the sale is charged at 10% of the reserve or, where no reserve had been stated, 10% of the estimated auction value as assessed by the specialist staff of Glendining’s, in their absolute discretion.
Illustration Fees. Illustrations are charged at £7.50 per crown-sized coin or smaller. Larger coins, commemorative or war medals, etc., will be charged at £80 per plate, £40 per half-plate, or by proportion. Colour plates will be charged at the current rate.
Insurance. All goods will be held insured unless otherwise instructed in writing — see Clause 14 below.
(The above charges are subject to Value Added Tax) Glendining’s reserve the right to allocate proceeds from the sale of goods referred to in this contract to any outstanding purchases in the name of the Vendor, and which have not been paid for in accordance with our standard conditions of sale.
All goods will be sold without reserve unless otherwise stated. It is the responsibility of the vendor to communicate instructions as regards reserves to the Auctioneers.
GENERAL CONDITIONS OF SALE
General. (a) All sales made by Glendining’s, both by auction and private treaty, are subject to the law of the country in which the sale takes place. For the avoidance of doubt, all sales in England are subject to English law and any litigation will be dealt with through English courts.
(b) Unless stated otherwise on this form, the Vendor warrants to Glendining’s that he posseses a marketable title free from encum- brances in all goods which he instructs Glendining’s to sell and is deemed to instruct as an individual on his own behalf.
Catalogues. Whilst Glendining’s make every effort to ensure the
accuracy of their catalogues and the description of any lot:-—
(a) Each lot as set out in the catalogue or as divided or combined with any other lot or lots is sold by the vendor will all faults, imperfec- tions and errors of descriptions.
(b) Glendining’s do not accept responsibility for the authenticity, attri- bution, genuineness, origin, authorship, date, age, period, con- dition or quality of any lot.
(c) All statements whether printed in the catalogue or made orally as to any of the matters set out in (b) above are statements of opinion only and are not to be taken as being or implying any warranties or representations of fact by Glendining’s.
Copyright. (a) The text of all Glendining’s catalogues is subject to
Glendining’s copyright and must not be reproduced in any form nor
entered into a retrieval system except by Glendining’s express consent.
(b) The Vendor authorises Glendining’s to commission and publish in its catalogues photographs or illustrations of his objects so far as Glendining’s in their absolute discretion think advisable. The cost of such photographs or illustrations shall (unless otherwise agreed) be payable by the Vendor but copyright therein shall vest in Glendin- ing’s whose use of such photographs or illustrations shall not be limited to the purposes of sale.
(c) Where the Vendor himself provides photographs or illustrations for publication in catalogues, Glendining’s use of them shall be res- tricted to the purposes of sale; the Vendor shall further be deemed (i) to warrant to Glendining’s that the use of such illustrations or photographs is authorised by the copyright owner (if any) thereof

and (ii) to indemnify Glendining’s against any claim or costs arising from the wrongful or allegedly wrongful use by Glendining’s thereof.
The Auction. (a) The Auctioneer has absolute discretion to divide any lot, to combine any two or more lots or to withdraw any lot or lots from the sale, to refuse bids and regulate bidding without in any case giving any reason or without previous notice. He may bid on behalf of the Vendor for all goods which are being offered subject to reserve or at the - Auctioneer’s discretion.
(b) The highest bidder shall be the buyer. The Auctioneer may at his sole discretion determine the advance of bidding or refuse a bid. If during the auction the Auctioneer considered that a dispute has | arisen, he has absolute discretion to settle it or to re-offer the lot.
(c) Each lot is put up for sale subject to any reserve price placed by the vendor. Where there is no reserve price (but not otherwise) the | Vendor has the right to bid either personally or by any one person | (who may be the Auctioneer).
d) All conditions, notices, descriptions, statements and other matters | in the catalogue and elsewhere concerning any lot are subject to any - statements modifying or affecting the same made by the Auctioneer — from the rostrum prior to any bid being accepted for the lot.
Premium. The buyer shall pay the hammer price adjusted for VAT as _ necessary. The buyer shall pay Glendining’s a premium of 10% of the hammer price and this shall be subject to VAT at the Standard Rate and is payable by all purchasers.
Rescission Notwithstanding any other terms of these Conditions, if within fourteen days after the sale Glendining’s have received from the buyer of any lot notice in writing that in his view the lot is a deliberate forgery and within twenty-one days after such notification the buyer returns the same to Glendining’s in the same condition as at the time of sale and by producing evidence, the burden of proof to be upon the Buyer, satisfies Glendining’s that considered in the light of the entry in the catalogue the lot is a deliberate forgery, then the sale of the lot will be rescinded and the purchase price of the same refunded. The Vendor agrees to be bound by Glendining’s decision and agrees to refund any amounts received by them from Glendining’s in respect of that lot. In the case of any misdescription by the Vendor or where a lot is shown to be a deliberate forgery Glendining’s shall not be liable to the Vendor for any loss arising from the recission of a contract for sale.
Default Glendining’s disclaim responsibility for default by either the Buyer or the Vendor because they act as auctioneers only and therefore do not pay out to the Vendor until payment is received from the Buyer. Instructions given by telephone are accepted at the sender’s risk and must be confirmed in writing forthwith.
Third Party Liability. Every person on Glendining’s premises at any time shall be deemed to be there at his own risk. He shall have no claim against Glendining’s in respect of any accident which may occur or injury, damage or loss howsoever caused, save in so far as the injury, damage or loss shall be caused by the negligence of Glendining’s employees.

Instructions As Glendining’s are auctioneers, all goods delivered to Glendining’s premises will be deemed to be delivered for sale by auction unless otherwise stated in writing and will be catalogued and sold at Glendining’s discretion and accepted by Glendining’s subject to all the Sale Conditions. By delivering the goods to Glendining’s for inclusion in their auction sales each Vendor acknowledges that he or she has accepted and agreed to be bound by all these Conditions.
Collections and returns. Glendining’s do not themselves usually undertake the collection or return of goods but will, if requested in writing, instruct a contractor on the Vendor’s behalf in their capacity as agents of the Vendor. Glendining’s disclaim all responsibility for loss or damage to goods or for unauthorised removal of goods and for damage to premises caused by the contractor who should be insured for such risks.
Loss or Damage Glendining’s disclaim all responsibility for loss or damage to goods or for unauthorised removal of goods unless caused by the direct negligence of their employees or agents, in which event Glendining’s liability shall be limited to the amount calculated in clause 14(a) below.

Storage (a) Glendining’s reserve the right charge for the storage on their own premises or elsewhere of goods delivered to them for sale and which have been withdrawn from sale by the Vendor and will make a minimum charge at £1 plus VAT per lot per day for such storage. This charge shall be made at Glendining’s discretion.
(b) Where goods are submitted to Glendining’s otherwise than pur- suant to a formally documented contract for sale by auction or for valuation they will be stored entirely at the owner’s risk and a charge of £1 per lot per day plus VAT will be made to the owner.
(c) Vendors will also be charged at the above rate for the storage of goods left on the premises if, the Vendor having been requested by Glendining’s to remove them for whatever reason, the goods are not so removed within seven days.
Right to Sell If the goods are not removed within seven days of a request from Glendining’s that they be so. Glendining’s reserve the right to sell the goods to defray all amounts due from the vendor including storage charges.
Insurance
Unless otherwise instructed in writing all goods on Glendining’s prem- ises and in their custody will be held insured against the risks of fire, burglary, water damage and accidental breakage or accidental damage. For arranging this insurance Glendining’s will charge 10p for each £10 or part of £10 of the value insured. The value of the goods so covered shall be the net amount realised, where items have been sold and in all other cases that value which the specialised staff of Glendining’s shall in their absolute discretion estimate to be the auction value of such goods, nett of any charges payable after auction.
Where the owner has given written instructions that items are not to be covered by Glendining,s insurance, Glendining’s shall not be respon- sible for damage to or the loss, theft or destruction of any goods not so insured.
In respect of any article delivered to Glendining’s, if the Vendor has in force a policy or policies of insurance in which the article is specifically mentioned as being insured, whether or not for an agreed sum or value, the Vendor shall notify his insurers of and shall himself note Glen- dining ’s interest as bailees in such policy or policies.
Reserves
All goods are put up for sale WITHOUT RESERVE unless instruc-
tions (preferably in writing) as to reserve are received by the Auction-
eer prior to the commencement of the sale, it being the responsility of the Vendor to ensure that the Auctioneer receive’s such instructions.
All reserves are confidential between the Vendor and the Auctioneer.
In the event of a lot remaining unsold at auction. Glendining’s shall be
empowered, provided the lot remains in their custody and is not
withdrawn from sale by the Vendor:—
(i) to offer the lot at a second or subsequent auction in which event no reserve price relevant to any earliuer sale shall be relevant to the second or subsequent auction unless specifically advised to the Auctioneer; or
(ii) to sell the sot after the auction by private treaty at a price not less than the reserve price relevant to the last auction. In the event of such a sale by private treaty these Conditions of Sale shall not apply by Glendining’s shall act as the Vendor’s agent.
Indemnity The Vendor shall duly indemnify Glendining’s against any claims by third parties in connection with any goods sold or stored by Glendining’s on the Vendor’s behalf.
Value Added Tax A Vendor who sends for sale by auction any chattel which is an asset of his business must disclose to Glendining’s whether or not he is a registered person for Value Added Tax purposes and, if so, his registered number and whether or not he intends to operate the special scheme covering works of art, etc. This information must be supplied to Glendining’s on or prior to delivery of the goods.
Disposal. The vendor authorises Glendining’s to dispose of any items to the local authority which in Glendining’s opinion have no saleable value and the Vendor agrees to pay and charges payabl or such a disposal.
Settlements. Settlement will only be made by means of a crossed account payee only cheque drawn on an account at a United Kingdom clearing bank.

Inspection Each buyer by making a bid for a lot acknowledges that he has satisfied himself fully before bidding by inspection or otherwise as to all the Sale Conditions the physical condition of and description of the lot including but not restricted to whether the lot is damaged or has been repaired or restored.
Property and Risk Legal title will not pass to the buyer until the lot(s) has been paid for in full and the Auctioneers shall be entitled to a lien on any lot sold until the purchase price (as defined in 23 below) is paid in full but each lot is at the sole risk of the buyer from the fall of the hammer. Each buyer shall forthwith give his full names and permanent address and if called upon to do so by the Auctioneer shall forthwith pay to Glendining & Co such proportion of the purchase price as the Auctioneer may require. If the buyer fails to do so, the lot may at the Auctioneer’s sole discretion be put up again and re-sold.
Every bidder shall be deemed to act as principal unless there is in force a written acknowledgement by Glendining & Co that he acts as agent on behalf of a named principal.
Removal of Goods
No purchase shall be claimed or removed until it has been paid for and the sale has been concluded. All purchases shall be paid for and removed at the buyer’s risk and expense by the end of the second working day after the sale, failing which the Auctioneer shall not be responsible if the same are lost, stolen, damaged or destroyed, and all lots not so removed shall remain at the risk of the buyer and subject to a minimum warehousing charge of 25p per lot per day. If they are not paid for and removed within seven days of the sale the Auctioneer may re-sell them by auction or privately without notice to the buyer. Any liability which there may be on the part of the Auctioneer in respect of any loss shall be restricted to a maximum of the price paid by the buyer of the lot.
In the event of any failure of the buyers to comply with any of the above conditions the damages recoverable by the seller or the Auctioneers from the defaulter shall include any loss arising on any re-sale of the lot, together with the charges and expenses in respect of both sales, and together with interest at 2% above Midland Bank PLC Base Rate upon the price of any lot which has not been paid for within 48 hours of the sale, and any money deposited in part payment shall be held by the Auctioneers on account of any liability of the defaulter to them or to the seller. The Auctioneers are unable to accept payment from success- ful bidders other than in cash or by the bidder’s own cheque. Cheques drawn by third parties, whether in the Auctioneers’ favour or requiring endorsement, cannot be accepted.
Value Added Tax The Buyer will be liable to pay V.A.T. at the standard rate on the hammer price on those Lots indicated with a dagger (+) after the Lot number. This V.A.T. is refundable on proof of export by Overseas Buyers within 28 days of Sale.
Purchase Price The purchaser shall pay the hammer price together with a premium of 10% of the hammer price. The premium is NOT negotiable and attracts V.A.T. at the standard rate and is payable by ALL purchasers. The vendor authorises the Auctioneer to deduct commission and expenses at the stated rates from the hammer price and acknowledges the Auctioneer’s right to retain the premium payable by the purchaser.

Lots will be purchased as cheaply as permitted by other bids and reserves. Bids must be submitted to Glendining & Co at least one hour before the sale commences, and should be entered on the forms provided. Bids may be sent by Fax, however Bids left by telephone will be accepted only on the condition that they are at the sender’s risk, and must in any case be confirmed in writing.
Export Licences A specific Licence is required before export from the U.K. of items that cost £20,000 or more, and are at least 50 years old, and also for certain other categories. The obtaining of any export licence is the responsibility of the buyer.

PAYMENT BY OVERSEAS CUSTOMERS
Payment should be made in Sterling in the form of cash, cheques drawn on a U.K. clearing bank, or by means of a banker’s draft or telegraphic or cable transfer directly into our bank account, quoting the original invoice number.
Unless prior arrangements have been made, and payment is made by any other means, then the customer will be liable for any bank or collection charges concerned, and any losses arising from the conversion of foreign currencies into sterling.

Subscriptions to our catalogues cover a full twelve month period from the time of payment. We hold some 25 auctions each year, of which a minimum of four include include Ancient coins, with a further three or four specialising in Historical Medals, Tokens and Numismatic Books. Orders, _ Decorations and Medals, for which separate subscription rates are offered, are sold in four major Oe aa but three extra Saturday “Collectors” sales have been added to the 1990 Calendar. Most catalogues contain some plates of illustrations. In the course of each year several of the catalogues are of more important collections.
ae We aim to post the catalogues to arrive some three weeks prior to the date of the sale. Lists if “Prices eget _ Realised” are issued after each sale and these are enclosed in a following catalogue, at no extra cost.
